This document explains the Terms & Conditions and Privacy Policy for Zeel H Patel Inc. It applies to all of Zeel H Patel Inc products & services.

1. Introduction

Welcome to Zeel H Patel Inc. These Terms and Conditions govern the use of coaching, training, and consulting services provided by Zeel H Patel Inc. By accessing and using these services, clients (referred to as "Client" or "You") agree to these terms.

2. Acceptance of Terms

The services provided by Zeel H Patel Inc are subject to the terms outlined herein. By engaging with our services, you acknowledge and agree to these Terms and Conditions.

3. Scope of Services

Zeel H Patel Inc offers mindset and high-performance coaching services, including but not limited to personal high-performance strategies, chat support, weekly to-do lists, and public speaking or training services delivered virtually or in person. Delivery specifics are governed by the contractual agreement with each client.

4. Client Responsibilities

• Clients are required to provide necessary information, adhere to advice provided, and complete action items as directed.
• Regular communication and feedback are essential for the effectiveness of the services provided.
• Clients must ensure timely attendance for all scheduled sessions.
• For virtual sessions, clients are responsible for maintaining a stable internet connection and appropriate software (e.g., Google Meet).
• Failure to attend three scheduled sessions without valid notice will result in the cancellation of coaching services without refund.
• Misbehavior, disrespectful conduct, or harmful actions may result in immediate termination of services without refund. Examples of misconduct include abusive language, threats, discrimination, or disruptive actions.

5. Intellectual Property

All materials provided by Zeel H Patel Inc, including training content, coaching frameworks, strategies, documents, and session recordings, are proprietary and protected under intellectual property laws. The absence of a registered copyright symbol does not mean that such materials are not protected as belonging to Zeel H Patel Inc. These materials are for the Client's personal use only and may not be shared, copied, or distributed without explicit permission.

6. Disclaimer of Results

Zeel H Patel Inc does not guarantee specific outcomes, as they depend on various factors, including the Client's dedication and business dynamics.

We make no guarantees about success, results, or outcomes from the use of our services, courses, or products. Even if prior results have been achieved, we make no assurance that these will be replicated. Clients engage with our services fully acknowledging and accepting this uncertainty.

7. Payment Terms

• Fees for services are as agreed upon in the Coaching Agreement. Payment terms shall be adhered to as outlined in the Agreement.
• Payment must be made in full before services are rendered unless otherwise agreed in writing.
• Late payments may result in a suspension of services. In the event of three failed payments for monthly plans, Zeel H Patel Inc reserves the right to engage a collection agency to recover the amount due.
• For training and public speaking events, payment terms will be governed by the respective written contract.

8. Refund and Return Policy

• All services provided by Zeel H Patel Inc are non-refundable except in cases of documented emergency situations.
• Rescheduling Policy:
  Clients may reschedule sessions by providing a minimum of 48 hours’ notice. Requests made within less than 48 hours of the scheduled session will not be accommodated, and the session will be considered forfeited.
  Only in the event of emergencies, sessions may be rescheduled with notice provided at least 10 minutes before the session, with a maximum of 3 requests. Decisions will be made on a case-by-case basis by Zeel Patel and/or the team.

9. Limitation of Liability

Zeel H Patel Inc shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific service. For international clients, Zeel H Patel Inc adheres solely to Canadian and Alberta law, and limitations of liability as per these terms.

By engaging in our services, clients acknowledge the inherent risks involved in coaching, training, and consulting engagements and agree to hold Zeel H Patel Inc harmless for such risks.

10. Dispute Resolution

In the event of any dispute, both parties agree to attempt resolution through mediation before pursuing litigation. Any unresolved disputes shall be resolved in the courts of Alberta, Canada.

11. Force Majeure

Zeel H Patel Inc shall not be held liable for delays or cancellations caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government-imposed restrictions, cyber-attacks, strikes, or other unforeseen events. Efforts will be made to reschedule affected services or events.

12. Confidentiality Agreement

All parties agree to maintain the confidentiality of any sensitive or proprietary information exchanged during the course of service delivery. This includes, but is not limited to, personal client data, training methodologies, and proprietary content.

13. Photography and Recording Consent

• Coaching Services: Consent is assumed when clients sign the coaching agreement for using recordings or photographs for promotional purposes.
• Training and Events: Consent is assumed unless attendees explicitly opt out in writing prior to the event.

14. Privacy Policy

1. Information We Collect:

• Personal details such as name, email address, and phone number.
• Payment information, processed through secure third-party providers.
• Session-related data, including feedback, recordings, and engagement metrics.

2. How We Use Your Information:

• To deliver and improve our services.
• To communicate about sessions, events, or updates.
• To ensure compliance with applicable laws and regulations.

3. Sharing Information:

• We do not sell or rent client information. Data may be shared with third-party service providers strictly for purposes such as payment processing and hosting virtual sessions (e.g., Google Meet, Stripe). All third parties adhere to industry-standard privacy protections.

4. Data Security:

• We implement robust measures to secure client data, including encryption, access controls, and secure storage. However, no system is completely secure, and we cannot guarantee absolute protection.

5. Client Rights:

• Clients have the right to access their personal data, request corrections, request deletion of data (subject to legal requirements), object to data processing, and request data portability.

6. Cookies:

• Our website may use cookies to enhance user experience and analyze website traffic. Clients can manage cookie preferences through their browser settings.

7. Record Retention:

• Client records will be retained for a period of three years following the conclusion of services unless legally required to retain them longer.

8. Data Breach Contingency:

• In the event of a data breach, Zeel H Patel Inc will notify affected clients within 72 hours and take necessary steps to mitigate risks.

15. Updates to Terms

Zeel H Patel Inc reserves the right to update these Terms and Conditions at any time. Updated terms will be posted on our website. Continued use of our services constitutes acceptance of the updated terms.

16. Indemnity Clause

Clients agree to indemnify and hold harmless Zeel H Patel Inc, its owner (Zeel Patel), employees, and affiliates from any claims, losses, or damages resulting from their use of our services or breach of these terms.

17. Termination Policy

Either party may terminate this agreement with written notice of 7 days. Refunds or rescheduling requests after termination are subject to the Refund Policy outlined above.

18. Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions.
